These terms
These terms are an agreement between AUTH LTD, which runs Redeo ("we", "us"), and the business that signs up to Redeo ("you"). AUTH LTD is registered in England and Wales, company no. 17296846, at Suite A, 82 James Carter Road, Mildenhall IP28 7DE.
You accept them when you open your shop on Redeo. The person who does that confirms they can agree to them for the business. Redeo is for businesses, so you use it in the course of your business and not as a consumer.
Our privacy policy explains how we handle personal data, including yours and your team's.
What you get
- The panel, where you set up your places, cards, team and settings, answer claims, write to card holders and see your numbers.
- The till, a web app you open on your own tablets, phones or computers and pair with your shop, which scans cards and gives punches.
- Your cards in the Redeo app, in Apple Wallet and Google Wallet, and on the web, and the counter stand you print from the panel.
- Your listing in the app's Places, once your shop is live and has a till or Square.
- Square, if you use it: punches straight from your Square till.
We keep improving Redeo, so it will change. We won't remove something your plan depends on without telling you at least 30 days before.
Your account and your team
- Give us accurate details and keep them up to date.
- You're responsible for everything done with your team's sign-ins, PINs and paired tills. Give people only the role they need, remove people who leave, and unpair tills you no longer use.
- Keep passwords and PINs private. We recommend two-step sign-in for owners and managers.
- If you think someone has got into your account, tell us at once at [email protected].
What we look at
We look at every new shop before it goes live, and at some changes after that, such as a new name, photo, opening hours, a card becoming harder to fill, or a message to card holders. We can turn down or hold anything that's misleading, unlawful, offensive, infringes someone's rights, or doesn't match what you sell. We'll tell you why.
Your shop's first look. If something needs changing before your shop goes live, we tell you what, and you send it back to us from the panel once it's done. Turning a new shop down is our last step: if we do, we tell you why, your shop is closed and its billing stops. What you've paid before then isn't refunded.
Your cards and your rewards
- You decide what counts, how many punches a card takes, the reward, and whether punches or rewards expire. Make each card clear and true.
- The rewards are yours to give. When someone fills a card, you give them the reward the card promised. Redeo doesn't give or pay for rewards.
- You're responsible for your cards and rewards meeting the law, including consumer law. If a reward can't be sold to everyone, such as alcohol, check the person's age before you give it, as you would at the till. Card holders can be 13 or over.
- Give one punch for each item that counts. Answer claims about missing punches fairly and without delay.
- When you change a card, holders keep every punch. When you end a card, holders can use it until the last day you choose, and rewards they've earned stay valid after that until they expire.
- Don't use Redeo for anything unlawful, for gambling or prize draws, or to collect details from people beyond what Redeo shows you.
Writing to card holders
You can write to the people who hold your cards and have turned on offers from you, through the panel only. Each plan has a limit on how many people you can reach each month. Messages must be accurate and about your place. We can hold a message for a look before it goes, and stop one that breaks these terms.
Plans, trial and billing
| Plan | Places | Cards | People you can write to each month |
|---|---|---|---|
| Shop | 1 | Up to 6 | 2,000 |
| Group | Up to 5 | No limit | 10,000 |
- Prices. Each plan's monthly price is shown when you sign up and on your plan page in the panel. If you sign up while we offer a launch price, you keep it after the offer ends, unless we give you at least 30 days' notice of a change.
- Free trial. When we offer one, your trial starts when you finish setting up your shop, and lasts the number of days shown when you sign up. Nothing is charged during it.
- Paying. To keep going after the trial, add a card in the panel. Stripe takes the payments; we never see your full card number. Your first payment is taken when the trial ends, or when you add the card if that's later, and covers the days until the 1st of the next month. After that, you pay each month in advance on the 1st. You authorise us to charge your card this way until your shop closes.
- With no free trial, you pay as you finish setting up, on Stripe's page. That first payment covers the days until the 1st of the next month, and then you pay each month in advance on the 1st, as above. Your shop goes to us for its first look once it's paid.
- If your trial ends without a card, the panel asks for one. We may pause your shop until you add it.
- Changing plan. Moving to Group applies at once, and we charge the difference for the rest of the month straight away. Moving to Shop applies from your next invoice, and you first need to be within Shop's limits.
- VAT. Our prices don't include VAT. We're not registered for VAT, so we don't add it now. If we register, we'll add VAT at the rate that applies from the date we have to, and tell you as early as we can.
- If a payment fails, we'll tell you and Stripe will try again. If it's still unpaid 14 days after we first told you, we may pause your shop until it's paid.
- Price changes. We'll give you at least 30 days' notice by email. The new price applies from the first invoice after the notice ends. If you don't want it, you can close before then.
- Refunds. What you've paid isn't refunded, except where these terms or the law say otherwise, or where we choose to.
Closing your shop
- You can close your shop on Redeo at any time, in Settings. Card holders are told the same day, and your cards and rewards keep working for 30 days. You can change your mind during those 30 days.
- When the 30 days are over, your shop closes: tills stop, and your subscription ends. Nothing more is charged, and the part of the month already paid isn't refunded.
- Download what you need before then. In Settings, Export everything gives you your cards, customers, punches and claims as spreadsheets.
- We keep your shop's details, team and invoices for 6 years after its last day, then delete them, as our privacy policy sets out.
When we can pause or close a shop
We can pause your shop if a payment is overdue as described above, if you seriously break these terms, if there's a risk to card holders or to Redeo's security, or if the law requires it. While a shop is paused its cards can't be punched, and every punch stays. We'll tell you why, and how to put it right, unless the law or someone's safety stops us.
If you seriously or repeatedly break these terms and don't put it right within 14 days of our telling you, we can close your shop, with the same 30 days for card holders.
If we ever stop running Redeo, we'll tell you at least 60 days before and refund anything paid for the time after.
Personal data
Card holders. Each card holder has an account with us, and we're the controller of it. You're a separate controller of what you see of card holders in Redeo: their first name and last initial, their cards, punches and rewards with you, and their claims with any receipt photo. Each of us is responsible for keeping to data protection law for our own part. You agree to:
- use what you see only to run your cards and serve your customers;
- keep it secure, share it only with your team, and not try to find out more about a card holder through Redeo;
- tell us promptly if someone asks you about how Redeo uses their data, or complains about it, and help each other answer.
Your team. Tell the people you add to your team that our privacy policy explains how we handle their details.
If you connect Square
When you connect your Square account, we handle some of your data in it on your behalf. For that part we're your processor and you're the controller, and this section is our agreement under Article 28 of the UK GDPR.
| What we do | Read your locations, items and completed orders, and the customer on an order, to punch the right Redeo card. Add a customer to your Square account for each Redeo card at your shop, and remove it when the card is deleted. |
|---|---|
| Whose data | People who buy from you through Square, and card holders at your shop. |
| What data | An order's time, items and customer; a customer's Square record, of which we use only the reference that holds a Redeo card's code; for each Redeo card, the holder's first name and last initial and the card's code. |
| For how long | While Square is connected. When you disconnect it, we delete the access Square gave us at once. We keep each sale's ID, time and punches, so a sale is never punched twice, and the link between each card and its Square customer, so neither is made twice if you connect again. Both are deleted with the rest of your shop's data. |
We will:
- handle this data only on your instructions, which are these terms and the settings you choose, and tell you if we think an instruction breaks data protection law;
- make sure everyone at Redeo who can reach it is bound to keep it confidential;
- keep it secure, with the measures in our privacy policy;
- use other processors for it only as listed in our privacy policy (today, Supabase, which hosts our database and server code), under terms that protect it as these do. We'll tell you at least 30 days before adding one, and you can object by disconnecting Square;
- help you answer people who use their data protection rights, and with security, breach notifications and data protection impact assessments, as far as our part allows;
- tell you without undue delay if we become aware of a breach affecting it;
- give you the information you need to show this agreement is kept, and allow reasonable audits, on reasonable notice.
Transfers outside the UK are made only as our privacy policy describes.
What's yours and what's ours
- Redeo, its software, design and brand are ours. While your shop is on Redeo you may use them to run your cards.
- Your shop's name, logo, photos and words stay yours. You let us use them to run Redeo: on your cards, in the app, in Wallet, on your stand and on getredeo.com. We'll ask you before using them to promote Redeo.
- You confirm you have the right to everything you upload, and that it doesn't infringe anyone's rights.
- If you send us ideas or feedback, we can use them without owing you anything.
Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law doesn't allow to be limited.
- We provide Redeo with reasonable skill and care. We don't promise it will always be available or free of faults. If a till can't scan, staff can type a card's code.
- We're not liable for loss of profit, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss.
- We're not liable for what's caused by your devices, your internet connection, your Square account, or anything else outside our control.
- Our total liability to you in any 12 months is limited to the greater of what you paid us in the 12 months before the event, and £100.
- You're responsible for claims by your customers about your cards, rewards, messages and the things you sell, and you'll cover our reasonable costs if such a claim is made against us.
Changes to these terms
We may change these terms when Redeo changes, to keep it secure, or when the law changes. We'll email the owner at least 30 days before a change applies, unless the law needs it sooner. If you don't agree, you can close your shop before then. Each version is published here with its date.
General
- These terms and the documents they mention are the whole agreement between us about Redeo.
- We can transfer this agreement to a company that takes over Redeo, and we'll tell you if we do. You can't transfer it without our agreement.
- We're not responsible for delays or failures caused by events outside our reasonable control.
- If a court finds part of these terms can't be enforced, the rest still applies.
- Nobody else has rights under these terms.
- We send notices to the owner's email address. Send yours to [email protected].
- These terms are governed by the law of England and Wales, and only the courts of England and Wales can hear disputes about them.
